toolWYZE™ Terms and Conditions
1. Who we are
toolWYZE™ is a suite of web apps for short-term rental property managers. It is run by MOSO Partnership Inc., a company incorporated in Ontario, Canada, which also operates Vacation Rental Formula Business School. In these terms, "we," "us" and "our" mean MOSO Partnership Inc., and "you" means the person or business that signs up.
You can reach us at support@toolwyze.com or by mail at 49 Glencairn Crescent, Huntsville, P1H2J4, Ontario, Canada.
2. Agreeing to these terms
By creating an account, starting a membership or using any toolWYZE tool, you agree to these terms and to our Privacy Policy. If you are signing up on behalf of a business, you confirm you have the authority to agree for that business.
You must be at least 18 years old to use toolWYZE.
3. What you get
A membership gives you access to the tools in the toolWYZE suite, as listed on our website at the time you use them. Some tools are available to anyone without a membership, such as the free STR AI-Ready assessment.
We are a young company and we are building in public. We add tools, improve them and sometimes change or retire features. We will tell you about significant changes in advance where we reasonably can. We will not describe a feature as available before it is.
Tools or features marked as beta, preview or early access are works in progress. They may change, behave unexpectedly or be withdrawn.
4. Your account
You are responsible for keeping your sign-in details private and for what happens under your account. If you invite team members, VAs or cleaners into a tool, you are responsible for their use of it. Tell us straight away at support@toolwyze.com if you think someone has accessed your account without permission.
Please give us accurate information when you sign up and keep it up to date, particularly your email address, because that is how we reach you about billing and changes.
5. Your content and the information you put in
You own your content. Everything you create or upload in toolWYZE stays yours: inspection notes and photos, procedures, owner handbooks, owner leads, business documents and anything else you enter.
What you let us do with it. You give us permission to store, process, display and back up your content only so far as we need to run the tools for you, keep them secure and provide support. We do not sell your content and we do not use it to train AI models.
Information about other people. Your work involves information about your owners, guests, cleaners, team members and leads. When you put that information into toolWYZE, you are responsible for having the right to do so, and for telling those people how you use their information where the law requires it. We handle that information on your behalf and on your instructions, as described in our Privacy Policy.
Please do not upload payment card numbers, government ID numbers, health information or other especially sensitive information about anyone. The toolWYZE tools are not designed for it.
6. Price, billing and refunds
Price. The price of a membership is the one shown at checkout when you sign up. Prices are in US dollars unless checkout says otherwise. Taxes may be added where they apply.
Billing. Memberships are billed in advance, monthly or annually, through our payment processor, Stripe. Your membership renews automatically at the end of each billing period until you cancel. We never see or store your full card number.
The 14-day guarantee. If toolWYZE is not right for you, tell us within 14 days of your first payment and we will refund that payment in full. There is no form and you do not have to explain why. Just email support@toolwyze.com.
After 14 days. You can cancel at any time and your membership stays active until the end of the period you have paid for. We do not give partial refunds for unused time, on monthly or annual plans, unless the law where you live requires it.
Price changes. If we change the price of your plan, we will tell you by email at least 30 days before the change affects your next payment, and you can cancel before then. Any rate you were promised in writing when you signed up, such as a founding member rate, is honored as described in that promise.
Failed payments. If a payment fails, we will let you know and try again. If it still cannot be collected, we may pause your access until it is resolved.
7. How you may use toolWYZE
Please use toolWYZE for running your property management business, and not to:
- break any law, or help anyone else break one;
- send spam or messages people have not agreed to receive;
- upload anything that infringes someone else's rights, or that is harmful, abusive or deceptive;
- try to get into accounts, data or parts of the system you are not meant to access, or interfere with how the tools run;
- copy, resell or rebuild the tools, or use automated methods to extract content from them;
- share one membership across separate businesses.
If you use toolWYZE in a way that puts other members, the service or anyone else at risk, we may suspend or close your account. Where we reasonably can, we will tell you why first and give you a chance to put it right.
8. AI-generated content
Several toolWYZE tools use artificial intelligence to draft text, such as inspection reports, procedures, owner documents and business documents. AI is helpful and it is also sometimes wrong. It can misread a note, miss something important or state something with more confidence than it deserves.
Please treat everything the tools produce as a draft that you review before you rely on it or send it to an owner, guest, cleaner or anyone else. You are responsible for what you choose to use and share.
Nothing toolWYZE produces is legal, tax, financial, insurance or safety advice. For those, speak to a qualified professional.
9. Canceling and closing your account
You can cancel your membership at any time from your account or by emailing support@toolwyze.com. Cancellation stops future payments. You keep access until the end of the period you have already paid for.
After your membership ends, we keep your content for [60] days so you can come back or ask us for a copy. After that, we delete it, apart from anything we must keep by law (such as billing records) and routine backups, which are overwritten on their normal cycle.
We may close a free account that has not been used for 24 months, after emailing you first.
10. Our intellectual property
The toolWYZE software, name, logo, design, written materials and the way the tools are put together belong to MOSO Partnership Inc. Your membership gives you a personal, non-transferable right to use them while your membership is active. It does not transfer any ownership to you.
If you send us ideas or suggestions, through the feedback button or otherwise, we may use them to improve toolWYZE without owing you anything for them. We are grateful for them all the same.
11. Other services we rely on
toolWYZE runs on services provided by other companies, including hosting, databases, payment processing, email and AI models. We choose them carefully, but we cannot control them, and an outage at one of them may affect toolWYZE. Our Privacy Policy lists them.
12. Availability
We work hard to keep toolWYZE running and your data safe, including regular backups. We cannot promise the tools will always be available, error-free or uninterrupted. We may take them offline for maintenance, and we will try to do that at quiet times and with notice.
Please keep your own copies of anything you could not do without.
13. Disclaimers
Apart from what these terms expressly say, toolWYZE is provided "as is" and "as available." To the extent the law allows, we make no other promises, whether express or implied, including promises that the tools will suit a particular purpose or produce a particular result for your business.
14. Limits on our liability
To the extent the law allows:
- we are not liable for indirect or consequential losses, such as lost profits, lost bookings, lost owners, lost data or damage to reputation; and
- our total liability to you for anything arising from toolWYZE or these terms is limited to the amount you paid us in the 12 months before the event that gave rise to the claim.
Nothing in these terms limits liability that cannot legally be limited, or takes away rights you have as a consumer under the law where you live.
15. Indemnity
If someone brings a claim against us because of content you put into toolWYZE or because you broke these terms or the law, you agree to cover our reasonable costs of dealing with it.
16. Changes to these terms
We may update these terms as toolWYZE grows. If a change is significant, we will email you at least 30 days before it takes effect. The date at the top shows when they last changed. If you keep using toolWYZE after a change takes effect, you are agreeing to the updated terms. If you do not agree, you can cancel before then.
17. Law and disputes
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there. If something goes wrong, please talk to us first at support@toolwyze.com, because most problems are sorted out quickest that way. If we cannot resolve it, the courts of Ontario will have jurisdiction, unless the law where you live gives you the right to bring a claim in your local courts.
18. The small print
If any part of these terms turns out to be unenforceable, the rest still applies. If we do not enforce a term straight away, we have not given up the right to enforce it later. You may not transfer your membership to someone else without our agreement. We may transfer these terms to a business that takes over toolWYZE, and we will tell you if that happens. These terms, together with our Privacy Policy and any written offer you accepted at signup, are the whole agreement between us about toolWYZE.
